License Agreement & Usage Rights

This License Agreement (“Agreement”) is a legal agreement between ZippyPixels (“Licensor”) and you (“Licensee” or “User”) for the use of digital assets, including but not limited to mockups, templates, and design resources (collectively, “Assets”) available on ZippyPixels.com.

By downloading or using any Asset from ZippyPixels.com, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not download, access, or use the Assets.

1. License Types and Usage Rights
   1. Free License
      1. Personal Use Only: Assets under the Free License may be used solely for personal, non-commercial projects.
      2. Attribution Required: Use of free Assets requires attribution to ZippyPixels. Attribution must be displayed where the Asset is used, in the format specified by ZippyPixels.
   2. Premium License
      1. Commercial Use: Premium subscribers may use both Free and Premium Assets for personal and commercial projects, including client work, promotional materials, and resale in end-products, subject to the limitations outlined in this Agreement.
      2. No Attribution Required: Premium subscribers are not required to attribute ZippyPixels when using either Free or Premium Assets.
      3. Unlimited Downloads: Users with an active Premium subscription may download unlimited Assets (both Free and Premium) as permitted under this Agreement.

2. Permitted Uses
   1. For Free Subscribers:
      1. Personal Projects Only: Free Subscribers may use Free Assets solely for personal, non-commercial projects.
      2. No Attribution Required: Use of Free Assets must include attribution to ZippyPixels.
   2. For Premium Subscribers:
      1. Personal and Commercial Projects: Premium Subscribers may use both Free and Premium Assets in personal and commercial projects, including for client work, advertising, promotional materials, and product packaging.
      2. Modification Rights: Premium Subscribers may modify Assets as needed to fit project requirements, provided such modifications do not infringe on the rights of ZippyPixels.
   3. Prohibited Uses
      You are not permitted to:

• • • Redistribute or Resell: You may not resell, sublicense, distribute, or otherwise make the Assets available to any third party in any form, whether unmodified or modified. This includes but is not limited to posting on other platforms, sharing on social media, or listing on online marketplaces.
    • Use in On-Demand Services: You may not use the Assets in products that allow customization or resale, such as print-on-demand services, without significant modification.
    • Trademark or Copyright Registration: You may not use the Assets as part of a logo, trademark, or any other identifier with intent to register it as intellectual property.

4. Intellectual Property
   All rights, title, and interest in the Assets remain the exclusive property of ZippyPixels or its content creators. This Agreement grants a limited, non-exclusive, non-transferable license to use the Assets, but it does not transfer ownership.
5. Subscription and Termination
   1. Subscription Plan: Premium licenses are accessible through a paid subscription. Access to Premium Assets is granted as long as the subscription remains active.
   2. Termination by Licensor: ZippyPixels reserves the right to terminate your access to the Assets if you breach any terms of this Agreement. Upon termination, you must delete all downloaded Assets and cease all usage.
   3. Cancellation by User: Users may cancel their subscription at any time, effective at the end of the billing period. After cancellation, upon completion of billing cycle, access to Premium Assets will end.
6. Warranties and Disclaimers
   ZippyPixels provides Assets on an “as-is” basis, without warranties of any kind. ZippyPixels does not guarantee that Assets will meet your requirements or that the service will be uninterrupted or error-free.
7. Limitation of Liability
   To the extent permitted by law, ZippyPixels shall not be liable for any damages, including but not limited to direct, indirect, incidental, or consequential damages, arising from the use of Assets.
8. Dispute Resolution
   Any disputes arising from this Agreement shall be resolved through negotiation, mediation, or arbitration, as agreed upon by both parties. Should further action be required, the parties agree to pursue amicable and legally compliant solutions.
